Account Agreement

Account Agreement for RCX Pty Ltd.

This Account Agreement ("Agreement") outlines the terms and conditions between RCX Pty Ltd ("RCX," "we," "us," or "our") and the user ("Client,” “user," "you," or "your") regarding the use of an account with RCX for accessing and using our services, website, or applications (collectively, "Services"). By creating an account or using our Services, you agree to the following terms and conditions:

1. Eligibility and Registration​

  1. To be eligible to create an account and use our Services, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is older.
  2. You agree to provide accurate, current, and complete information during the account registration process, and maintain and update your information as needed to keep it accurate.

2. Account Use and Responsibilities​

  1. You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account.
  2. You agree to immediately notify us of any unauthorised use of your account or any security breaches.
  3. You may not share your account credentials with others or allow others to access or use your account.

3. Account Security​

  1. RCX employs security measures to protect your account information. However, we cannot guarantee absolute security, and you acknowledge that you use our Services at your own risk.
  2. We are not responsible for any damages or losses resulting from unauthorised access to or use of your account.

4. Account Suspension and Termination​

  1. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violations of this Agreement, our Privacy Policy, or any applicable laws or regulations.
  2. Upon termination, you will no longer have access to your account or our Services.

5. Account Deactivation​

  1. You may deactivate your account at any time by following the instructions provided in your account settings or by contacting us.
  2. Deactivating your account does not relieve you of any obligations or liabilities arising from your use of our Services prior to deactivation.

6. Limitation of Liability​

  1. To the fullest extent permitted by law, RCX and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, consequential, incidental, punitive, or special damages arising out of or in connection with your use of our Services, including but not limited to loss of profits, business interruption, loss of data or information, or any other pecuniary loss.
  2. RCX's total liability to you under this Agreement shall be limited to the amount paid by you to RCX for the Services during the 12 months preceding the event giving rise to such liability.

7. Indemnification​

You agree to indemnify, defend, and hold RCX harmless from any claims, damages, or expenses arising from your use of our Services, any violation of this Agreement, any other RCX Agreement, or our Privacy Policy, or any third-party claims relating to your use of our Services.

8. Modification of Agreement​

RCX reserves the right to modify this Account Agreement at any time. Any changes will be effective upon posting the revised Agreement on our website or applications. Your continued use of our Services after the posting of any changes constitutes your acceptance of those changes.

9. Third Party Connected Platform Agreement​

Agreement between Stripe Payments Australia Pty Ltd A.C.N. 160 180 343, Stripe Customer Portal ("Stripe", "we" or "us") and you ("Customer,” “client,” “user," "you," or "your"), the user of the Stripe Customer Portal service. By using the Stripe Customer Portal service, you agree to be bound by these terms and conditions. https://stripe.com/au/legal/ssa

  1. Introduction: This agreement ("Agreement") is made between you ("Customer,” “client,” “user," "you," or "your") and Stripe, Inc. ("Stripe") regarding the use of the Stripe Customer Portal and related services.
  2. Acceptance of Terms:By using the Stripe Customer Portal, the Customer agrees to be bound by Stripe's Customer Portal Terms of Service, Stripe Services Agreement, and any other applicable policies or agreements, as amended from time to time.
  3. Customer Responsibilities: The Customer is responsible for using the Stripe Customer Portal in accordance with Stripe's documentation and guidelines. The Customer must provide accurate and up-to-date information in the customer portal and ensure compliance with applicable laws and regulations.
  4. Stripe Responsibilities: Stripe is responsible for providing the customer portal services, including hosting, maintenance, and support. Stripe will ensure the availability and functionality of the customer portal as per the terms of the Stripe Services Agreement.
  5. Data Protection and Privacy: The Customer and Stripe agree to protect the privacy and confidentiality of customer data in accordance with applicable data protection laws and regulations. The Customer must obtain necessary consents from their customers for the collection and processing of their personal information.
  6. Termination: Either party may terminate this Agreement in accordance with the terms outlined in the Stripe Services Agreement. Termination of the Agreement will result in the termination of the Customer's access to the Stripe Customer Portal.
  7. Limitation of Liability: The limitation of liability provisions outlined in the Stripe Services Agreement apply to this Agreement.
  8. Governing Law and Dispute Resolution: This Agreement is governed by the laws outlined in the Stripe Services Agreement. Any disputes arising from this Agreement will be resolved in accordance with the dispute resolution procedures specified in the Stripe Services Agreement.

By using RCX's Services, you acknowledge that you have read, understood, and agreed to be bound by this Account Agreement.
