Intellectual Property Agreement

Intellectual Property Agreement for RCX Pty Ltd.

This Intellectual Property Agreement ("Agreement") is made between RCX Pty Ltd ("RCX," "we," "us," or "our") and you ("Client,” “user," "you," or "your"). By accessing or using RCX's services, website, or applications (collectively, "Services"), you agree to be bound by this Agreement. If you do not agree with the terms of this Agreement, please do not use our Services.

1. Ownership

RCX retains all rights, title, and interest in and to our Services, including all intellectual property rights, such as copyrights, trademarks, patents, and trade secrets. This includes any content, materials, or software provided by RCX in connection with our Services.

2. License Grant

RCX grants you a limited, non-exclusive, non-transferable license to access and use our Services in accordance with this Agreement. You may not use RCX's Services for any purpose other than as expressly permitted under this Agreement.

3. User Content

You retain ownership of any content or materials you submit, publish, or display through our Services ("User Content"). By submitting User Content, you grant RCX a non-exclusive, worldwide, royalty-free license to use, copy, modify, and distribute the User Content for the purpose of providing our Services.

4. Feedback

If you provide any suggestions, ideas, or feedback to RCX regarding our Services, you agree that RCX may use such feedback without restriction or compensation to you.

5. Trademarks

You may not use RCX's trademarks, logos, or branding without our prior written consent.

6. Infringement

You agree not to infringe upon the intellectual property rights of RCX or any third party. If you become aware of any infringement, you must promptly notify RCX.

7. Confidentiality

You agree to keep confidential any non-public information or materials provided to you by RCX during the course of our Services.

8. Termination

RCX may terminate or suspend your access to our Services at any time, for any reason, without notice or liability. You may terminate this Agreement by discontinuing your use of our Services.

9. Governing Law

This Agreement will be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

By using RCX's Services, you acknowledge that you have read, understood, and agreed to be bound by this Intellectual Property Agreement.
